These Terms and Conditions ("Terms") govern your access to and use of AngleYou ("the Platform"), an IT and AI assessment service operated by AngleYou Limited ("we", "us", "our"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

By creating an account or using any part of the Platform, you confirm that you are at least 18 years of age, have the authority to enter into this agreement on behalf of your organisation where applicable, and accept these Terms in full. We reserve the right to update these Terms at any time. Continued use of the Platform after changes are posted constitutes acceptance of the revised Terms.

AngleYou provides online IT maturity and AI readiness assessment tools that allow organisations to evaluate their IT and AI capabilities across defined domains, receive scored results, benchmark against peer organisations, and generate reports with recommendations. The Platform is provided as a software-as-a-service (SaaS) product accessible via web browser.

We reserve the right to modify, suspend, or discontinue any feature or the Platform as a whole at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the service.

To access the Platform, you must register for an account using a valid email address. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorised use of your account. We reserve the right to terminate accounts that violate these Terms.

You agree not to:

• Use the Platform for any unlawful purpose or in violation of any applicable laws or regulations
• Attempt to gain unauthorised access to any part of the Platform or its related systems
• Reverse engineer, decompile, or attempt to extract the source code of the Platform
• Submit false, misleading, or fraudulent information in any assessment
• Use automated tools, bots, or scripts to access or interact with the Platform
• Resell, sublicense, or commercially exploit the Platform without our express written consent
• Upload or transmit any malicious code, viruses, or harmful content

Certain features of the Platform require payment. All fees are stated in the applicable pricing plan and are exclusive of any applicable taxes unless otherwise noted. Payment is processed via our third-party payment provider (Stripe). By providing payment information, you authorise us to charge the applicable fees.

Subscription fees are billed in advance on a recurring basis. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods except where required by applicable law.

We reserve the right to change pricing at any time. We will provide reasonable notice of pricing changes, and continued use of the Platform after a pricing change constitutes your acceptance of the new fees.

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection and use of your data as described in our Privacy Policy.

You retain ownership of all data you submit to the Platform ("Your Data"). By submitting data, you grant us a limited, non-exclusive licence to process Your Data for the sole purpose of providing the service to you. We do not sell Your Data to third parties.

Aggregated and anonymised assessment data may be used by us to generate industry benchmarks and improve the Platform. No personally identifiable information or organisation-identifiable data will be included in such aggregations without your explicit consent.

All content, software, methodologies, scoring frameworks, and materials provided through the Platform (excluding Your Data) are owned by or licensed to AngleYou and are protected by intellectual property laws. Nothing in these Terms grants you ownership of any Platform content or intellectual property.

Reports and outputs generated from your assessment data are provided to you for your internal business use only. You may not resell, publish, or distribute these outputs commercially without our written consent.

Certain reports generated by the Platform reference published cybersecurity, IT governance, and AI governance frameworks and standards, including but not limited to NIST Cybersecurity Framework, NIST AI Risk Management Framework, ISO/IEC 27001, ISO/IEC 42001, CIS Controls, COBIT, SOC 2, the Australian Cyber Security Centre's Essential Eight, and the NZ Information Security Manual (NZISM) ("Third-Party Frameworks"), and may link to the publicly available websites of the organisations that publish them.

Third-Party Frameworks, and the names, marks, and logos associated with them, are the property of their respective publishers. AngleYou is not affiliated with, sponsored by, endorsed by, or certified by any Third-Party Framework publisher, and nothing on the Platform should be read as such an affiliation, sponsorship, endorsement, or certification.

Any mapping between your assessment results and a Third-Party Framework's controls, clauses, or requirements is AngleYou's own curated interpretation, provided for informational and educational purposes only. It is not an official mapping issued or reviewed by the framework publisher, does not constitute a compliance certification, audit finding, or attestation of any kind, and should not be relied upon as a substitute for a formal audit or assessment against that framework by a qualified third party.

The Platform uses artificial intelligence (AI) technology, including large language models provided by third-party providers, to generate commentary, recommendations, analysis, and improvement roadmaps based on your assessment responses ("AI-Generated Content").

You acknowledge and agree that:

• AI-Generated Content is produced algorithmically and may contain errors, inaccuracies, omissions, or outputs that do not reflect your specific circumstances
• AI-Generated Content is provided for informational and indicative purposes only and does not constitute professional IT, cybersecurity, legal, financial, or business advice of any kind
• AngleYou makes no representation or warranty regarding the accuracy, completeness, reliability, suitability, or fitness for purpose of any AI-Generated Content
• You are solely responsible for evaluating AI-Generated Content and for any decisions, actions, or omissions you make in reliance on it
• You should seek independent qualified professional advice before making any significant IT, security, or business decisions based on Platform outputs
• The AI models used may be updated or changed at any time, which may affect the nature of outputs generated

AngleYou expressly disclaims all liability for any loss or damage, whether direct, indirect, consequential, or otherwise, arising from your reliance on AI-Generated Content.

The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, secure, or free from viruses or harmful components.

Assessment scores and results are generated solely from information you provide. AngleYou does not independently verify the accuracy or completeness of information submitted by users, and takes no responsibility for results generated from inaccurate or incomplete inputs.

To the extent permitted by the Consumer Guarantees Act 1993 (New Zealand) and the Fair Trading Act 1986, and where you are acquiring the Platform for business purposes, the guarantees and remedies provided under those Acts are excluded.

To the fullest extent permitted by applicable law, AngleYou and its officers, directors, employees, contractors, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of revenue, loss of profit, loss of data, loss of business opportunity, loss of goodwill, or business interruption, arising out of or in connection with:

• Your use of or inability to use the Platform
• Any AI-Generated Content produced by the Platform
• Any decisions made or actions taken in reliance on Platform outputs or recommendations
• Any unauthorised access to or alteration of your data
• Any errors, inaccuracies, or omissions in assessment results or reports

Our total aggregate liability to you for any and all claims arising out of or related to these Terms or your use of the Platform shall not exceed the total amount paid by you to AngleYou in the twelve (12) months immediately preceding the event giving rise to the claim, or NZD $100, whichever is greater.

You agree to indemnify, defend, and hold harmless AngleYou and its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your use of the Platform or any outputs generated by it
• Any decision, action, or omission you take based on AI-Generated Content or assessment results
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Any inaccurate or misleading information you submit through the Platform

You may terminate your account at any time by contacting us or using the account deletion feature within the Platform. We may suspend or terminate your access immediately and without notice if you breach these Terms, engage in fraudulent or illegal activity, or if we cease to operate the Platform.

Upon termination, your right to access the Platform ceases immediately. We may retain your data for a period following termination as required by law or for legitimate business purposes, after which it will be deleted in accordance with our data retention policy.

These Terms are governed by and construed in accordance with the laws of New Zealand. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of New Zealand.
